These Terms of Service ("Terms") constitute a legally binding agreement between you and MLPipeKit, Inc. ("MLPipeKit," "we," "our," or "us"), a Delaware corporation headquartered at 100 Summer Street, Boston, MA 02110. These Terms govern your access to and use of the MLPipeKit website at mlpipekit.com (the "Site") and the MLPipeKit clinical trial data management platform and related services (collectively, the "Service").

For enterprise customers, these Terms are supplemented by an Order Form, Statement of Work, or Master Subscription Agreement executed between MLPipeKit and the customer. In the event of any conflict between these Terms and such a separate written agreement, the terms of the separate written agreement shall control.
MLPipeKit provides a cloud-based software platform designed to support clinical trial data management operations for pharmaceutical companies, biotechnology companies, contract research organizations, and related entities. The Service includes the following core capabilities:
The Service is provided as a software-as-a-service (SaaS) platform. MLPipeKit reserves the right to modify, update, or discontinue features of the Service with reasonable notice to customers.
To access the Service, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information and must update it promptly when it changes.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:
MLPipeKit is not liable for any loss or damage arising from your failure to maintain account security.
The Service is intended for use by organizations engaged in pharmaceutical development, clinical research, or related professional activities. Consumer use is not supported. MLPipeKit reserves the right to refuse registration or terminate accounts that do not meet eligibility requirements.
Access to the Service is provided through subscription plans described on our Pricing page. Subscriptions are available on monthly or annual terms. All subscription prices are denominated in US Dollars (USD).
By subscribing to the Service, you authorize MLPipeKit to charge your designated payment method for the applicable subscription fee on a recurring basis. Fees are charged:
All fees are non-refundable except as expressly stated in these Terms or required by applicable law. MLPipeKit reserves the right to modify subscription pricing with at least 30 days' advance notice to existing subscribers.
All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and governmental assessments associated with your subscription, except for taxes on MLPipeKit's income. Where MLPipeKit is required by law to collect taxes, those taxes will be added to the invoice.
If payment is not received within 10 business days of the due date, MLPipeKit may suspend access to the Service. MLPipeKit will provide at least 5 business days' notice before suspension. Accounts suspended for non-payment may be terminated if payment is not received within 30 days of suspension.
MLPipeKit may offer free trials of the Service. Free trials are subject to the limits and conditions specified at the time of the trial offer. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.
You may use the Service only for lawful purposes and in accordance with these Terms. The Service is provided to support legitimate clinical trial data management operations in regulated pharmaceutical and biotech environments.
You may not use the Service to:
The Service, including all software, algorithms, interfaces, documentation, trademarks, service marks, logos, and other content and materials provided by MLPipeKit, are owned by MLPipeKit or its licensors and are protected by United States and international intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service or MLPipeKit's intellectual property.
Subject to these Terms and payment of applicable fees, MLPipeKit grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.
You retain all rights, title, and interest in and to the data you submit to the Service ("Customer Data"), including clinical trial data, configuration data, and other data uploaded or generated through your use of the Service. You grant MLPipeKit a limited license to process Customer Data solely for the purpose of providing the Service to you and as described in our Privacy Policy and any applicable Data Processing Agreement.
MLPipeKit will not use Customer Data for any purpose other than providing, maintaining, and improving the Service. MLPipeKit will not disclose Customer Data to third parties except as required to provide the Service, as directed by you, or as required by law.
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant MLPipeKit a worldwide, non-exclusive, royalty-free, irrevocable license to use, copy, modify, and incorporate the Feedback into the Service or other products and services without any obligation to you.
Each party may have access to confidential information of the other party in connection with the Service. "Confidential Information" means any information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Each party agrees to: (a) hold the other party's Confidential Information in strict confidence using at least the same degree of care used to protect its own confidential information (but no less than reasonable care); (b) not disclose Confidential Information to any third party except as permitted under these Terms; and (c) use Confidential Information only for purposes of performing obligations or exercising rights under these Terms.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided the receiving party gives prompt notice and cooperates with efforts to obtain a protective order.
MLPipeKit targets a platform availability of 99.5% uptime, excluding scheduled maintenance and circumstances beyond our reasonable control. Specific service level commitments for enterprise customers are addressed in separate agreements.
Standard technical support is available to all registered users via email at team@mlpipekit.com during normal business hours (Monday through Friday, 9:00 AM to 6:00 PM Eastern Time, excluding US federal holidays). Priority support tiers are available under enterprise subscription plans.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MLPIPEKIT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
MLPIPEKIT DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (C) ANY ERRORS WILL BE CORRECTED; OR (D) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
THE SERVICE IS NOT INTENDED TO SUBSTITUTE FOR QUALIFIED REGULATORY, LEGAL, OR STATISTICAL ADVICE. MLPIPEKIT DOES NOT GUARANTEE THAT USE OF THE SERVICE WILL RESULT IN REGULATORY APPROVAL, CLINICAL TRIAL SUCCESS, OR ANY PARTICULAR OUTCOME IN PHARMACEUTICAL DEVELOPMENT ACTIVITIES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MLPIPEKIT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSS, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF MLPIPEKIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MLPIPEKIT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MLPIPEKIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, MLPipeKit's liability is limited to the greatest extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless MLPipeKit and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party rights; (c) your Customer Data or your use of Customer Data through the Service; or (d) any negligence or willful misconduct by you or your users.
These Terms remain in effect from the date you first access the Site or Service until terminated by either party.
You may cancel your subscription at any time through your account settings or by contacting us at team@mlpipekit.com. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused portions of prepaid subscription periods.
MLPipeKit may suspend or terminate your access to the Service: (a) immediately if you breach these Terms and fail to cure the breach within 10 business days of notice; (b) immediately for violations that pose a security risk, legal liability, or harm to other users; or (c) with 30 days' notice for any other reason at MLPipeKit's discretion.
Upon termination: (a) your license to use the Service ceases immediately; (b) you remain liable for all fees incurred prior to termination; (c) MLPipeKit will provide a 30-day period during which you may export your Customer Data; and (d) after the data export period, MLPipeKit will delete Customer Data per the applicable Data Processing Agreement or, absent such agreement, within 90 days of termination.
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Suffolk County, Massachusetts, and you consent to personal jurisdiction in those courts.
Notwithstanding the foregoing, MLPipeKit may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
For enterprise customers, disputes may be subject to binding arbitration or other dispute resolution procedures specified in a separate written agreement.
These Terms, together with the Privacy Policy, Cookie Policy, and any Order Forms or other written agreements between you and MLPipeKit, constitute the entire agreement between you and MLPipeKit concerning the Service and supersede all prior agreements, representations, and understandings.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of that term or any other term. Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms without MLPipeKit's prior written consent. MLPipeKit may assign these Terms without restriction in connection with a merger, acquisition, or sale of substantially all of its assets.
MLPipeKit shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labor disputes, internet outages, or government actions.
Legal notices to MLPipeKit must be sent in writing to: MLPipeKit, Inc., 100 Summer Street, Boston, MA 02110, Attention: Legal. Notices to you will be sent to the email address associated with your account.
MLPipeKit reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Site at least 30 days before taking effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
